Project Requirements and Completion

  1. Client Requirements Submission: Clients are required to provide all necessary project requirements and materials within 10 days of signing the agreement. This includes, but is not limited to, content, specifications, and any other information crucial to the project’s completion.
  2. Default Completion Clause: If the client fails to provide the necessary requirements within the 10-day period, DUSRA Soft Limited reserves the right to proceed with the project based on the available information. The project will be considered complete, and any additional changes will be subject to further charges.

Payment Terms

  1. Advance Payment: A 50% advance payment is required at the time the work order is signed. This advance payment secures your project in our schedule and allows us to commence work promptly.
  2. Yearly Payment Adjustments: For ongoing services and support, yearly payments will be adjusted based on the rate of changes and the actual cost of third-party services. Clients will be informed of any rate changes in advance.
  3. Support Payment: Following the initial two-month free support period after project completion, any further support will be billed at our standard support rates. Clients will receive detailed invoices for support services rendered.

Tax Obligations

  1. VAT and AIT: Clients are responsible for paying Value Added Tax (VAT) and Advance Income Tax (AIT) as per the prevailing government regulations in Bangladesh. These taxes will be included in the invoices provided.

Support and Maintenance

  1. Free Support Period: Clients are entitled to free support for a period of two months following the completion of the project. This support includes bug fixes, minor adjustments, and general assistance related to the project.
  2. Paid Support Services: After the free support period, clients can opt for continued support services, which will be billed according to our current support rates. This includes any additional work, modifications, or updates requested by the client.

General Conditions

  1. Code of Conduct: We expect our clients to communicate respectfully and professionally with our team. Any form of abuse or harassment will not be tolerated and may result in termination of services.
  2. Confidentiality: Both parties agree to keep all project-related information confidential. This includes all materials, communications, and data exchanged during the project.
  3. Intellectual Property: All intellectual property created during the project will remain the property of DUSRA Soft Limited until full payment is received. Upon full payment, ownership of the deliverables will be transferred to the client.
  4. Liability Limitation: DUSRA Soft Limited is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our maximum liability is limited to the amount paid by the client for the services rendered.
  5. Amendments to Terms: DUSRA Soft Limited reserves the right to amend these terms and conditions at any time. Clients will be notified of any changes in advance, and continued use of our services will constitute acceptance of the new terms.
